1. Acceptance of Terms

By accessing or using Market Suite (the "Service"), creating an account, or completing a subscription purchase, you confirm that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms constitute a legally binding agreement between you and the operator of Market Suite ("we," "us," or "our"), a business operating from Ontario, Canada.

2. Description of Service

Market Suite is a subscription-based software-as-a-service (SaaS) platform that provides:

• AI-scored financial news feeds for XAU/USD and equity futures markets (NQ/ES)
• Composite market sentiment signals derived from aggregated news analysis
• Source reliability tracking and economic calendar integration
• Session briefings and position size calculator tools
• An AI-assisted trade journal with compliance tracking, performance analytics, and coaching

The Service is provided for informational and analytical purposes only. All content, signals, scores, briefings, and journal coaching are generated by automated systems and are not financial advice. We make no representation that any information on the platform is accurate, complete, or suitable for trading decisions.

3. Eligibility

You must be at least 18 years of age and legally capable of entering a binding contract in your jurisdiction to use the Service. By subscribing, you represent that you meet these requirements.

4. Subscriptions and Payment

Access to Market Suite requires a paid subscription. The current subscription fee is $50 per month plus applicable taxes. Taxes (including Ontario HST where applicable) are calculated and collected at checkout.

• Subscriptions are billed monthly to the payment method on file via Stripe
• Your subscription renews automatically at the end of each billing period unless cancelled
• We reserve the right to change subscription pricing with at least 30 days' notice to your registered email address
• Continued use after a price change takes effect constitutes acceptance of the new price

Payment processing is handled by Stripe, Inc. By subscribing, you also agree to Stripe's terms of service. We do not store your payment card information.

5. Refund Policy

All sales are final. We do not issue refunds under any circumstances. This includes, but is not limited to, partial-month refunds upon cancellation, refunds for unused access, and refunds requested after a billing event has occurred.

If you believe a charge was made in error, contact us within 7 days of the charge and we will investigate. Chargebacks initiated without first contacting us may result in permanent suspension of your account.

6. Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

• Your subscription will not renew at the next billing date
• You retain full access to the Service until the end of your current paid billing period
• No partial refund is issued for the remaining days in your billing period

We reserve the right to terminate or suspend your account immediately, without notice or refund, if you violate these Terms.

7. Not Financial Advice

Market Suite is an informational tool. Nothing provided through the Service (including news scores, sentiment signals, session briefings, position size calculations, AI journal coaching, or any other output) constitutes financial, investment, or trading advice.

Trading financial instruments including spot gold, futures contracts, and other derivatives carries substantial risk of loss and is not appropriate for all individuals. You should consult a qualified financial advisor before making any trading or investment decisions. You acknowledge that you use the Service entirely at your own risk.

8. Acceptable Use

You agree not to:

• Share your account credentials or allow others to access the Service using your account
• Scrape, crawl, copy, or redistribute any content from the Service
• Attempt to reverse-engineer, decompile, or circumvent any part of the Service
• Use the Service for any unlawful purpose or in violation of applicable regulations
• Interfere with or disrupt the integrity or performance of the Service
• Resell or sublicense access to the Service

Violation of these rules may result in immediate account termination without refund.

9. Intellectual Property

All content, design, software, and systems comprising the Service are the exclusive property of Market Suite and its licensors. These Terms do not grant you any ownership rights. You may use the Service solely for your own personal, non-commercial trading and analysis purposes.

Content you create within the Service (such as journal entries) remains yours. By storing it on the Service, you grant us a limited licence to process and display it solely for the purpose of providing the Service to you.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or timeliness of any information provided through the Service.

To the maximum extent permitted by applicable law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Service, including but not limited to trading losses, lost profits, or loss of data.

Our total aggregate liability for any claims arising under these Terms shall not exceed the total amount you paid to us in the three months preceding the claim.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email to your registered address at least 14 days before they take effect. Your continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.
